Terms of Trade

Preamble

The present Terms Of Trade apply between Ellié Computing SARL (legal information) and any person visiting or purchasing on the Ellié Computing site (hereafter "The customer").
Any visitor can read the Terms Of Trade on the Ellié Computing site. These Terms Of Trade can be modified at any time, the applicable conditions are those present on the Site at the date of purchase.

General Clause

These conditions consitute with potential particular additional clauses the only clauses for the terms of trade. These conditions prevail on any purchase conditions, except otherwise formally and explicitly stated by we. The act of purchase implies the acceptation of these conditions without any reserve, excluding any other issued information such as ads, mailings, catalogs published by Ellié Computing which have only an indicative value.

Mail Order

All purchases on this site are considered as mail order, regarding the European Directives (May, 20th 1997). The customer's rights are those of any customer processing a mail order.

The fact of downloading softwares on the customer's computer using the serial number assigned in the order constitute a so called "start of use" and a "seal break". Therefore, the customer cannot ask for a refund for these softwares once the email sending the serial numbers was successfully accepted by your mail server.

Likewise, the customer will not be able to ask for a refund invoquing the non-delivery of the software by 30 days after the transaction has been accepted. The delivery process is described hereafter.

Order

In order to avoid delays and wrong deliveries, all orders must specify the product name, and the corresponding price, as well as the customer's details (postal address, email address, and for companies, their name and the name of the person authorized to represent it).

Prices

The price of the articles offered for sale on Ellié Computing site include VAT when applicable and are subject to the effective laws in force, in particular the European Union taxes.
The products and service orders are displayed in US dollars ($US) or Euros. For on-line credit card payments, the total amount due is charged to the credit card in euros. The $US-euros exchange rate is based on standard daily bank rates. The exact amount in euros is displayed in the page where the cusstomer confirms the transaction.

Ellié Computing will be allowed to modify at any moment the products and services prices without any financial loss. In case of price changing during the customer giving an order, the appropriate price will be precisely the one inscribed on the product or the service at the moment of the customer's order.

Payment

The price is immediately exigible at the order moment, in euros only.

The debit takes immediat effect. Ellié Computing will honour only payments allowed by the French Credit Card Network. All data stored on the payment server will be considered as proof for electronic transactions.

Ellié Computing enforces customer protection by certifying the purchases on the site. When placing an order on the site, the customer is asked for his/her credit card number. Ellié Computing is committed to transmitting this credit card number in an encrypted format. For this reason, Ellié Computing has subscribed to the CyberPlus system from Natexis/Banque Populaire in order to secure transactions on the site.

Cheque

Ellié Computing accepts payments by cheque written for "Ellié Computing SARL" in euros, on a bank domiciled in France. The customer prepares a shopping cart, then checks it out and prints the order form. The check and the order form will by sent to Ellié Computing (address available in the presentation page).
Fees for a second presentation of a cheque are charged to the client.

Bank transfer

Ellié Computing accepts bank transfers in euros. Our bank information is available by contacting the Sales Department.

At payment of the order, the credit card number is send under a completely secure transmission to the financial establishment duly allowed to receive the order payment. The credit card number is not sent to Ellié Computing website.

Delivery

Purchased softwares can be downloaded at no charge from the online account created by the customer. These items are automatically added in the online account as soon as the transaction has been accepted (when paid by credit card), or when the cheque/bank transfer has been processed. The account creation is a free operation. The account allows the customer to download his/her software, receive copies of the invoice for each purchase. It can also be used to contact the Technical Support to get a personalized answer.

Invoicing

At the end of the online payment, the customer will be sent a digital invoice. In case of payments by cheque or bank transfert, the invoice will be sent when the payment is received. This invoice is the purchase proof on the site and the proof of these Terms of Trade approval.

Responsability

The software is provided as is, Ellié Computing does not offer any guarantee, whether express or implied, particularly and unrestrictively as regards the quality and compatibility of the software and their documentation for a specific use. The customer expressly acknowledges that it is not possible to guarantee that the software will meet performance requirements or that they will work without discontinuity or bug. Consequently, Ellié Computing will not bear the risks relating to the software qualities and performances.

Ellié Computing does not incur any liability for any consequential damages because of these presents, operating loss, profit loss, chance loss, data loss, damages or costs.

Property Rights

Every elements one will find on the Ellié Computing site in particular the texts, the information, the images, the softwares, the logos and other distinctive signs etc. may be protected by property rights in particular copyrights. By the way the customer promise not to reproduce, copy, sell, resell, rent or exploit etc. whole or part of these elements in a commercial or other purpose, unless he has been allowed to do it by the beneficiary.

Technical Assistance

When purchasing products from Ellié Computing the transaction includes a one-year Technical Support service from the date of purchase. This service can be accessed from the following web interface: http://www.elliecomputing.com/Support/default.asp. All Technical Support contacts will be provided in the customer's language if possible or by default in English.

The customer will be able to subscribe to a Technical Support extension to the conditions in force at the moment on this site.

Software updates released to fix bugs or technical problems will be downloadable freely from the customer's online account. The versions including new functions can be included in the upgrade service provided with the software purchase regarding the product description.

Personal Data Protection

We commit ourselves protecting the customer's personal data. All the personal data concerning the customer that We collected are treated with the most strict confidentiality, in accordance with the legal provisions of personal data protection.

Our Privacy Policy describes the customer's rights about personal data treatments.

Applicable duty and court of jurisdiction

The present Terms Of Trade depend on the French Law. All the litigations relating to the trade existing between the customer and Ellié Computing, are depending on the exclusive competence of the French jurisdictions.
